Business & Commerce
Facilitating Pacific Trade and Commerce
A commercial lease signed in Port Vila answers to 2 legal orders at once. The Vanuatu Financial Services Commission takes the English text under the Companies Act. The custom owners of the ground read the Bislama version before the chief puts his hand to it. Tonga's kava exporters lodge consignment papers with Tonga Customs in English, then explain that grading sheet to growers in Vavaʻu in Tongan. An ASX-listed miner in Port Moresby publishes a JORC resource statement in English and a landowner payment notice in Tok Pisin on the same day. Pacific commercial paperwork answers to 3 authorities: a metropolitan statute, a regional trade agreement and a customary title. Huri Translations produces the versions accepted by those 3 authorities, from ASYCUDA entries to community shareholder notices.
One Contract, Two Legal Orders
A company registry records the lease and the charge over assets in English or French. Customary title holds the ground under them, and its holders speak for it at the nakamal or the village meeting. A site-use agreement therefore ships in 2 versions, the registrar's and the chiefs'.
Vanuatu leases run to 75 years under the Land Leases Act. The file opens with the custom-owner consent. For lessors and investors in Port Vila, our Bislama Translation Services draft that consent and the VFSC company extract in Bislama beside the English lease. The chiefs sign the Bislama text, while the registrar stamps the English.
Fiji splits that file between 2 authorities. The iTaukei Land Trust Board consents to a lease over iTaukei land. A company files its annual return with the Registrar of Companies under the Companies Act 2015. Mataqali members in Suva and the Rewa delta get the consent application and the landowning-unit resolution in Fijian from our Fijian Translation Services. The lease itself stays in English.
Translation here crosses 2 vocabularies, secured lending and kastom tenure. Under kastom a title holder is a line of descent, and consent comes out of a meeting. Our linguists grew up with the 2 vocabularies. They draft the consent clause until the obligation stated to the meeting matches the obligation filed with the registrar.
When Customs Sends the File Back
Customs officers send a consignment file back for 2 recurring faults. The HS heading on the commercial invoice contradicts the packing list, or the origin statement falls outside the PACER Plus rules of origin. PACER Plus entered into force on 13 December 2020. Under its rules of origin, customs officers in Australia and New Zealand set the tariff treatment of a Pacific consignment. A rejected claim puts the goods back at the full rate.
Tonga's kava exporters work through the Ministry of Trade and Economic Development for the export licence and through Tonga Customs for the entry. Our Tongan Translation Services reconcile the Tongan grading sheet against the English invoice at lodgement in Nukuʻalofa. A kilogram figure at odds between the 2 papers stops the entry at the counter.
Japan checks that consignment a second time. An importer files a food-sanitation notification with the quarantine station under the Food Sanitation Act. Japan Customs then classifies the goods again on arrival. Our Japanese Translation Services write the product description and the ingredient breakdown in Japanese for import agents in Tokyo, against the English invoice lodged at home by the exporter.
Who Writes to the Shareholders
A listed Pacific company's board addresses a mixed-language workforce and its shareholders. The company secretary files with the Registrar of Companies and reports to the exchange. English comes back from the exchange and the registrar. The province answers in Tok Pisin, Pijin or Fijian.
An ASX-listed producer in Port Moresby reports under Listing Rule 3.1 to a market in Sydney and under the Mining Act to the Mineral Resources Authority at home. Landowner associations receive the memorandum-of-agreement payment notice from our Tok Pisin Translation Services. The JORC 2012 resource statement stays in technical English.
Community shareholding goes deeper in Solomon Islands. Provincial trusts and landowning associations own blocks in processing and logging firms. Our Solomon Islands Pijin Translation Services word the dividend statement and the shareholder meeting notice in Pijin for holders around Honiara and in Western Province. The Companies Act 2009 fixes the notice period for a general meeting, and members hear the Pijin text at the church hall on the day of the vote.
The return leg gets less attention and costs more. A landowner association replies in Pijin. An association secretary puts that reply to a meeting. The company secretary then needs an English minute strong enough for the auditor. Our editors handle that direction as closely as the outbound leg, because a court takes that English resolution 5 years later.
Under FATF Recommendation 16
FATF Recommendation 16 puts 3 items of originator data on a cross-border wire transfer: name, account number and address. Recommendation 10 sets the customer due-diligence standard behind the account itself. The Asia/Pacific Group on Money Laundering then assesses a member state against the 2 recommendations in its mutual evaluation. Counter staff then hand over longer forms.
Bank staff in Tarawa reject an account-opening pack on the identity and disclosure fields more than on the rest of the pack. Our Gilbertese Translation Services hold those fields to the source wording and gloss the compliance terms in plain Kiribati. A first-language reviewer sent back a heading printed in the plain plural and asked for the bracketed form, Notice(s). The bracket lets a customer holding 1 notice take the heading as written.
Compact migrants open US accounts under the customer identification rule made in 2003 under the USA PATRIOT Act. The bank hands over a written notice before it takes their identity data. Poultry-plant workers around Springdale take that notice and the remittance fee schedule from our Marshallese Translation Services. A wire home to Majuro is a weekly family transaction there.
Both files end up at a correspondent bank. A Pacific bank clears US dollars through a correspondent in Sydney or Singapore. That correspondent asks for the local AML/CFT file in English at review. Our editors assemble that file from the Kiribati and Marshallese originals, so the customer record and the English summary agree at audit.
A Bid Ruled Non-Responsive
Evaluation panels throw out bids at preliminary examination. The price envelope stays sealed. A translated form of tender at odds with the English original is enough. A bill of quantities with a unit converted in the local-language version alone fails there too. The bidder loses the season and the ministry loses the competition.
New Zealand's aid programme funds works and health infrastructure across Sāmoa through line ministries in Apia. Our Samoan Translation Services draw up the instructions to bidders and the bill of quantities in Sāmoan for village-contractor bidders. The unit rates and the quantities stay identical across the 2 versions.
Asian Development Bank procurement follows its 2017 regulations, with bidder clarifications and addenda issued from the procurement division in Manila. Koror bidders see those addenda in Palauan through our Palauan Translation Services while the clarification window is open. An addendum unread by a bidder produces a non-conforming bid 3 weeks later.
Following a Pearl Consignment
A lot of cultured pearls leaves a Tuamotu farm under 4 papers. The farm's harvest sheet records the lot. The producer group's grading record sets the class. A customs declaration and a certificate of origin follow at the port. The first 2 are written in Tahitian and French together, the last 2 in French alone.
Pearl farming in French Polynesia falls under the 2017 loi du pays. The Direction des ressources marines checks lots for export quality at Papeʻete. Our Tahitian Translation Services prepare the harvest declaration and the grading record in Reo Tahiti for farm families in the Tuamotu and Gambier groups, against the French text accepted by the administration.
At the port the CCISM chamber of commerce issues the certificate of origin. The exporter then lodges a customs declaration on the French single-document model. Our editors reconcile the pearl count and the lot class across the 2 papers at lodgement, since the buyer files that certificate beside the invoice.
The buyer takes that lot in a third language. Auction houses and jewellery wholesalers in Hong Kong inspect against their own grading sheet. Payment follows a documentary credit governed by UCP 600. Our Traditional Chinese Translation Services match the inspection sheet to the credit's document list. A description at odds with the invoice is a discrepancy, and article 16 gives the issuing bank a single refusal notice to state it.
The last leg goes back to the atoll. The producer group posts a payout statement to its members, with the lot class and the deduction for the group's own costs. Our Tahitian editors write that statement for farm families. Those figures appear in the French accounts filed by the group.
Seasonal Contracts Under Two Labour Systems
A seasonal worker signs under 2 labour systems. In Australia the PALM deed and the relevant modern award bind the employer. In New Zealand the Employment Relations Act 2000 obliges an employer to give a written employment agreement at the start of the engagement. The sending ministry files its own version in the national language. Those 2 texts diverge at the deductions schedule more than at other points.
Compact citizens take up work in Guam under the Compact of Free Association. Their employer completes Form I-9 on the first day. For hotel and construction employers in Hagåtña, our Chuukese Translation Services prepare 3 documents in Chuukese for workers arriving from the outer islands. Those 3 are the letter of engagement, the payroll deduction authority and the housing agreement.
New Zealand's Recognised Seasonal Employer scheme draws crews from Tuvalu into the Marlborough and Hawke's Bay harvests. Our Tuvaluan Translation Services write the employment agreement and the accommodation deduction schedule in Tuvaluan for crews briefed through Christchurch at the start of the season. The labour department in Funafuti checks that agreement at the point of departure.
Workers dispute the accommodation deduction more than the hourly rate. The PALM and RSE instruments both state that deduction as a weekly figure against a gross wage. A village labour arrangement puts obligation in kind and in time. Sending families take the contract through that habit. Our translators set out the deduction clause in figures and in a worked weekly example.
What Breaks in a Bank Field
A SWIFT MT103 payment gives the ordering customer and the beneficiary 4 lines of 35 characters apiece, in a restricted Latin character set of unaccented letters. A Pacific name with an ʻokina or a macron comes out of that field stripped. The beneficiary line then disagrees with the passport and the account file. A compliance team queries the payment. A family then waits a week for a transfer sent on a Friday.
Trade names hit that limit on shore. Hawaiian business names take the ʻokina and the kahakō. A filing clerk and a merchant terminal end up with different reductions of the name on file. Through our ʻŌlelo Hawaiʻi Localisation Services a firm in Honolulu files the stripped form and the full form together, so a search under either spelling finds the company.
Aotearoa forms do the damage through capitals. A field set to upper case drops the macron. Tūmatanui and tumatanui then arrive at the registry as identical strings. Our Reo Māori Localisation Services supply the macronised te reo Māori string and its ASCII fallback for companies filing in Auckland. The note assigns the fallback to the upper-case fields.
The Annual Return and the Beneficial Owner
An annual return states 3 things as at a date: the directors, the shareholders and the address. A beneficial-ownership disclosure names the natural person behind the holding. FATF Recommendation 24 drove the second into Pacific company law, and Asia/Pacific Group evaluators test the quality of the registrars' data.
New Caledonia files to the French model. A company lodges its statuts with the registry of the tribunal mixte de commerce in Nouméa and shows its RCS extract to banks and tender panels. Parent companies in Australia and New Zealand take the statuts and the shareholder resolution in French from our French Translation Services.
The Federated States of Micronesia adds a national permit to the state licence. A foreign investor needs 2 grants: a foreign investment permit from the national government and a business permit from the state government. Our Pohnpeian Translation Services word the permit application and the shareholder declaration in Pohnpeian for applicants filing at Palikir.
Solomon Islands takes its filings online through Company Haus, in English. A village director reads a beneficial-ownership declaration in Pijin at the village hall and signs the English. Our editors deliver the 2 texts as a combined file, with the declaration wording locked and the explanation written for the signing member.
Gujarati Family Firms and the Succession File
Much of the islands' retail and wholesale trade belongs to Gujarati-origin merchant houses, a community separate from the larger Fiji Hindi-speaking population. Their paperwork divides between 2 systems as well. Company law governs the company constitution and the shareholder agreement. The family arrangement rests on a settlement among brothers and cousins, recorded in Gujarati.
For merchant houses along the wholesale streets of Suva, our Gujarati Translation Services handle 3 sets of paper. Those are the shareholder agreement, the import-distribution contract and the duty correspondence with the Fiji Revenue and Customs Service. A succession file asks for more care. A single estate puts the company shares, the trading premises and the family arrangement on the same signature page.
The diaspora arm sells to 2 readers at once. Our Gujarati Localisation Services adapt the storefront and the loyalty programme for jewellery and grocery firms in Auckland. A grandmother reads the Gujarati and a grandchild scrolls the English promotion that afternoon. Those firms file their GST returns with Inland Revenue in English.
The supply chain starts in Ahmedabad, Mumbai and Surat. A Pacific wholesaler and an Indian exporter put a distribution agreement in place. The wholesaler then opens a documentary credit with a Suva bank and files the trade mark locally. Our editors check the agreement against the credit application, since the exporter ships the next consignment on the strength of the 2 papers.
Labelling Under Standard 1.2.1
Standard 1.2.1 of the Australia New Zealand Food Standards Code lists the label statements and fixes their place on the pack. The Country of Origin Food Labelling Information Standard 2016 adds the origin mark for the shelf in Australia. A label is a regulated instrument. The advertisement beside it answers to a different authority.
Pacific food brands sell into the United States through diaspora grocery chains, with the label in English under FDA rules and the shelf talker in the language of the customer. Our Gagana Sāmoa Localisation Services build the packaging label and the product safety notice on a locked glossary first, then check the safety and handling lines against the source before artwork goes out to Los Angeles.
A misread handling line is the fault worth paying to avoid. A warning rewritten for rhythm is how it happens. Our editors leave variable fields and named products in their source form, so a batch code and a brand name survive the merge into artwork.
Advertising goes the other way. In the United States the Federal Trade Commission holds an advertiser to a substantiation standard for a claim. The line around that claim is rewritten rather than translated. Our Lea Fakatonga Localisation Services put up several headline options for Tongan families across Salt Lake City and leave the substantiated claim untouched.
Pacific Business Contexts
Business practice in the region adds 3 angles to the paperwork above.
Honorific Address
Sāmoan and Tongan correspondence grades its address to the recipient. A letter to a board chair with a matai title takes a different opening from a letter to a plant manager. Our translators set that level at the drafting stage for firms in Apia.
Correspondent Banking
Under review by a clearing bank in Singapore, a Pacific bank hands over its customer files and its risk assessment in English. The counter itself deals with those customers in Kiribati or Pijin.
Franchise Disclosure
The Franchising Code of Conduct obliges a franchisor in Australia to give a disclosure document 14 days before signing. Pacific-owned food franchises in Melbourne take that document with the territory schedule and the fee table alongside.
